Terms and Conditions
These Terms and Conditions govern the provision of services by {{COMPANY_NAME}} (“we”, “us”, or “our”) to clients engaging us for mobile app development, UX/UI optimization, and related consultancy. By commissioning work, you agree to these terms.
Scope of services
We deliver services according to statements of work or proposals that outline deliverables, timelines, and pricing for mobile app development lifecycle support, cross-platform solutions, and product design outputs.
Client commitments
- Provide timely access to stakeholders, assets, and feedback required for concept development, prototype development, and app testing and QA.
- Ensure that all materials supplied do not infringe on third-party intellectual property rights.
- Appoint a primary contact with decision-making authority.
Fees and payment
Fees and payment terms are defined in the relevant statement of work. Unless otherwise agreed, invoices are payable within 30 days of the invoice date. Late payments may incur interest at the statutory rate in the UK.
Intellectual property
Upon receipt of full payment, intellectual property rights in bespoke deliverables, including mobile app architecture, style guides, and brand identity design materials, transfer to the client unless stated otherwise.
Confidentiality
Each party agrees to keep confidential any non-public information exchanged during the project. Confidential information must not be shared with third parties without prior written consent.
Warranties
We warrant that our services will be carried out with reasonable care and skill in line with industry practices. We do not warrant that digital products will be entirely error-free, but we provide remediation for defects identified within an agreed warranty period.
Liability
Our total liability for any claim arising out of these Terms and Conditions is limited to the total fees paid under the applicable statement of work. We are not liable for indirect or consequential losses such as lost revenue or business interruption.
Termination
Either party may terminate the agreement with written notice if the other party materially breaches the Terms and fails to remedy the breach within 14 days. Termination does not affect accrued rights or obligations.
Governing law
These Terms and Conditions are governed by the laws of England and Wales, and disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
